PART III — NARRATIVE

 

State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

 

AmericaTowne Holdings, Inc. (the “Company”), is unable to file, without unreasonable effort or expense, its Annual Report on Form 10-K for the period ending December 31, 2019 (the “Form 10-K”). Additional time is needed for the Company’s independent registered public accounting firm to complete its review of the financial statements included in the Form 10-K and for the Company to provide additional information to its accountants and auditors in order to produce a complete, accurate Annual Report. Delays relating to the Annual Report are attributable to the novel coronavirus known as COVID-19. The Company anticipates on filing its Form 10-K on or by June 15, 2020. The Company will update the public regarding the status of the 10-K as additional information becomes available.
