Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On February 22, 2019, pursuant to a
Schedule 14C Definitive Information Statement filed on February 1, 2019, The 4Less Group, Inc., f/k/a MedCareers
Group, Inc. (the “Company”) filed with the Secretary of State for the state of Nevada a Certificate of Amendment
to Articles of Incorporation in which:

The name
of the Company was changed from MedCareers Group, Inc. to The 4Less Group, Inc.;

|
|
|
2.

The number of authorized
common stock was increased to 20,000,000,000; and

|
|
|
|
|
3.

A 6000:1 reverse split
of the common stock of the Company was effectuated.

The Company did not, at that time, and as
required by the SEC, file a Current Report on Form 8-K, and is now rectifying such error. The Certificate of Amendment to
