Explanation of Responses:
(1)	The Board of Directors (the "Board") of WPX Energy, Inc. (the "Company") approved the accelerated vesting, effective as of December 31, 2020, of 4,309 time-based restricted stock units previously granted to the Reporting Person which originally were scheduled to vest on March 2, 2021. The Board approved the accelerated vesting in order to mitigate potential adverse tax consequences to the Company and the Reporting Person of Section 280G of the Internal Revenue Code, as amended, in connection with the Company's merger with Devon Energy Corporation.
(2)	Each time-based restricted stock unit represented a contingent right to receive a share of common stock, subject to the applicable award agreement.
(3)	Represents shares withheld to satisfy withholding tax obligations due upon accelerated vesting of restricted stock units.
(4)	Award vested on an accelerated basis on December 31, 2020. See footnote 1 for additional information
