Explanation of Responses:
(1)	On January 4, 2021, the Issuer entered into an agreement with Willing L. Biddle (the "Reporting Person"), whereby the Reporting Person was granted a restricted stock award of 2,500 shares of Class A Common Stock that vests January 4, 2030, pursuant to the Issuer's Amended and Restated Restricted Stock Award Plan (the "Restricted Stock Award Plan").
(2)	Of such shares, 22,500 are restricted shares, subject to vesting, issued to the Reporting Person pursuant to the Restricted Award Plan.
(3)	Shares held by Catherine U. Biddle, spouse of the Reporting Person.
