Explanation of Responses:

These shares were previously held in a trust for the benefit of the mother-in-law of the Reporting Person (the "initial beneficiary"), who is recently deceased. The shares were sold by the trust in connection with the liquidation of all securities of the trust in the transaction reported above. The spouse of the Reporting Person is co-trustee of the trust and became a beneficiary of the trust upon the passing of the initial beneficiary.
