Explanatory Note

This Form 8-K/A amends our Current Report on Form 8-K, dated September 22, 2019 (the "Original Filing"), solely for the purpose of correcting the signature block in the Original Filing which inadvertently contained the incorrect title. Other than correcting the title in the signature block, this amendment does not amend or modify the disclosures in the Original Filing.

Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 22, 2019, Matthew Hepler resigned as a director of Terex Corporation (the “Company”). His resignation was not due to any disagreement with the Company or its management regarding any matter relating to the Company’s operations, policies or practices.
