Explanation of Responses:
(1)	Options were issued under the Company's 2013 Long-Term Incentive Plan and became exercisable in four equal annual installments beginning on December 5, 2015.
(2)	15,000 shares were sold as an exercise of stock options and the remaining 7,700 shares reflect the sale of restricted stock units and performance stock units that were 100% vested.
(3)	The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $154.7700 to $155.6700. The reporting person undertakes to provide to the Company, any security holder of the Company, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within this range.
