Explanation of Responses:
(1)	Represents the cancellation of restricted shares awarded to the reporting person on January 24, 2019 that were scheduled to vest on March 1, 2023. On September 11, 2020, the restricted shares were canceled pursuant to the settlement terms of a derivative action lawsuit filed against the issuer and certain of its officers and directors by several stockholders on behalf of the issuer.
(2)	Represents the cancellation of restricted shares awarded to the reporting person on February 19, 2020 that were scheduled to vest on March 1, 2024. On September 11, 2020, the restricted shares were canceled pursuant to the settlement terms of a derivative action lawsuit filed against the issuer and certain of its officers and directors by several stockholders on behalf of the issuer.
(3)	The reporting person disclaims beneficial ownership of these securities and this report shall not be deemed an admission that the reporting person is the beneficial owner of the securities for purposes of Section 16 or for any other purposes.
