EXPLANATORY NOTE

On January 12, 2022, Sequans Communications S.A. issued and sold 7,899,020 ordinary shares in the form of 1,974,755 American Depositary Shares (ADSs) in a private placement to Renesas Electronics Corporation at a price of $4.70 per ADS. This private placement was previously announced on January 5, 2022.
