(2)	Each RSU represents a contingent right to receive one share of common stock.
(3)	Pursuant to the terms of the Company's equity incentive plan, represents shares withheld by the Company to satisfy the tax liability incurred upon the distribution of the time-based RSUs granted on each of May 9, 2018, May 15, 2019 and May 13, 2020, as well as for the distribution of the performance-based RSUs granted May 10, 2017, following completion of the one-year hold period after vesting of the RSUs. For each of these awards, shares were distributed on May 17, 2021.
