(1)	Represents 3,201 shares held directly and 4,151 restricted share units that vest as follows: 875 shares will vest on February 15 2021, 800 shares will vest on October 16, 2021, 1,317 shares will vest on February 13, 2022, and 1,159 shares will vest on February 13, 2023.
(2)	The amount of securities beneficially owned represents the number of shares of common stock indirectly held for the account of the reporting person under The PNC Financial Services Group, Inc. ("PNC") Incentive Savings Plan (the "ISP").
