Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 15, 2019, Perry E. Davis, the Company’s Executive Vice President, President – Residential Products & Industrial Products, notified the Company of his decision to retire from the Company effective February 7, 2020. The Company plans to immediately begin a search for Mr. Davis’ replacement.
