Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 7, 2022, Thomas J. Fisher, Executive Vice President and Chief Technology Officer of KAR Auction Services, Inc. (the “Company”), notified the Company that he is resigning from his positions at the Company. The resignation will be effective April 7, 2022. Pursuant to the terms of his employment agreement with the Company, Mr. Fisher is entitled to the severance benefits described in section 5 of his employment agreement.
