Explanation of Responses:

(1)

On November 30, 2022, 25% of Mr. Kirkland's Restricted Shares ("RS") and related dividend equivalents vested (907 shares of common stock). The RS originally were granted on June 9, 2022, as part of Mr. Kirkland's 2022-23 Annual Director Compensation Award, since he elected to receive equity in lieu of his cash portion of his annual compensation. The Company paid $5.13 to Mr. Kirkland in lieu of the vested fractional shares. Upon Mr. Kirkland's termination, the vested RS will be freely transferable.
