Represents shares of common stock withheld by The Howard Hughes Corporation (the "Company") to satisfy certain tax withholding obligations upon the vesting of: (i) 334 time-based shares of restricted stock granted in 2015; (ii) 85 time-based shares of restricted stock granted in 2017; (iii) 82 time-based shares of restricted stock granted in 2018; and (iv) 130 time-based shares of restricted stock granted in 2019. The grants of such shares were previously reported and made under The Howard Hughes Corporation Amended and Restated 2010 Incentive Plan. No shares were sold by the Company or the reporting person.
