Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

 

On and as of the effective date of the merger (the “Merger”) and related transactions contemplated by that certain Agreement and Plan of Merger (the “Merger Agreement”), dated November 9, 2020, by and among Bonanza Creek Energy, Inc. (“Bonanza Creek” or the “Company”), Boron Merger Sub, Inc., a wholly owned subsidiary of the Company, and HighPoint Resources Corporation (“HighPoint”), and consistent with and subject to the terms of the Merger Agreement, the Company expects that Scott D. Vogel and Jack E. Vaughn, each current members of the Company’s board of directors (the “Board”), will resign and that, as previously announced, Audrey Robertson and James E. Craddock will be elected as new members of the Board. At such time, the Board will consist of Brian Steck as Chairman, James E. Craddock, Eric T. Greager, Carrie L. Hudak, Paul Keglevic, Audrey Robertson, and Jeffrey E. Wojahn.

 

Item 8.01 Other Events

 

On March 14, 2021, HighPoint filed voluntary petitions under Chapter 11 of the Bankruptcy Code (the “Chapter 11 Cases”) in the United States Bankruptcy Court for the District of Delaware (the “Court”) to effectuate the previously announced prepackaged plan of reorganization (the “Prepackaged Plan”) and consummate the transactions pursuant to the Merger Agreement.  HighPoint has filed a motion with the Court seeking joint administration of the Chapter 11 Cases under the caption In re HighPoint Resources Corporation, et. al. The Prepackaged Plan implements the merger and restructuring transactions contemplated under the Merger Agreement and related Transaction Support Agreement, dated as of November 9, 2020, by and among HighPoint, HighPoint Operating Corporation, Fifth Pocket Production, LLC, certain consenting holders of the HighPoint Notes (defined below), and certain consenting HighPoint stockholders.

This communication relates to the Merger between the Company and HighPoint, which includes the commencement by the Company and HighPoint of (i) exchange offers (the “Exchange Offers”) to effect the exchange of unsecured senior notes of HighPoint (the “HighPoint Notes”) for shares of the Company’s common stock, par value $0.01 per share, or unsecured senior notes to be issued by the Company in connection with the Exchange Offer, (ii) consent solicitations (the “Consent Solicitations”) to certain proposed amendments to the indentures governing the HighPoint Notes and (iii) the simultaneous solicitation of the Prepackaged Plan.
