Under the terms of the agreement, public shareholders of Forest will receive $26.04 in cash and 0.3306 shares of Actavis common stock for each share of Forest they own. Based on Actavis’s closing stock price on February 14, 2014, Forest shareholders would have received consideration valued at approximately $89.48 per share.

The investigation concerns whether Forest’s board of directors failed to adequately shop the Company and obtain the best possible value for Forest’s shareholders before entering into an agreement with Actavis. According to Yahoo! Finance, at least one analyst has issued a price target for Forest stock at $91.00 per share.
