Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 17, 2020, Harper Ko, Executive Vice President, Chief Legal Officer – General Counsel and Corporate Secretary, notified Everi Holdings Inc. (the “Company”) that she intends to depart from the Company effective December 29, 2020 in order to accept the position of Executive Vice President, Chief Legal Officer & Secretary at Penn National Gaming, Inc. (PENN: Nasdaq). The Company is grateful for Ms. Ko’s significant contributions and strong leadership during her time at the Company and wishes her continued success in her future endeavors.
