(1) | Represents a gift of limited partnership interests in MBS Family Investments LP ("MBS LP") to a trust for the benefit of the reporting person's spouse and descendants. The gift represented a 49% interest in MBS LP. |
(2) | Represents a gift of limited partnership interests in MBS LP to a trust for the benefit of the reporting person and her descendants. The gift represented a 49% interest in MBS LP. |
(3) | Following the transactions described in footnote (1) and footnote (2), the limited partners of MBS LP are the reporting person, her spouse and two trusts, one benefiting the reporting person and her descendants and the other benefiting the reporting person's spouse and her descendants. The reporting person and her spouse are co-managers of the general partner of MBS LP. |
(4) | The sales reported in this Form 4 were effected pursuant to a Rule 10b5-1 trading plan adopted by the reporting person on April 1, 2021. |
