Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 22, 2020, The Cato Corporation (the "Company") was notified that M. Tim Greer, Executive Vice President and Director of Stores for the Company, is retiring from the Company effective May 29, 2020. For the time being, Mr. Greer’s responsibilities have been assumed by Mr. John P.D. Cato, the Company’s Chairman, President and Chief Executive Officer, and other senior executives.
