Item 5.02  Departure of Directors of Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On September 19, 2019, Richard J. Murphy resigned from the Board of Directors of Berkshire Hills Bancorp, Inc. (the “Company”) and Berkshire Bank, effective immediately. Mr. Murphy’s decision was based on his increased professional obligations and was not the result of any disagreement between Mr. Murphy and the Company.
