Item 2.02 Results of Operations and Financial Condition.

On October 31, 2019, Avon Products, Inc. (the "Company") issued a press release announcing its results of operations for the for the third-quarter 2019. The press release included the Company's consolidated statements of income, consolidated balance sheets and consolidated statements of cash flows, and supplemental schedules, for the three-month period ended September 30, 2019. A copy of that press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
