Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 19, 2019, Laura Barbrook notified Avon Products, Inc. (the “Company”) of her intention to resign from her position as the Company’s Vice President, Corporate Controller and the Company’s Principal Accounting Officer. Ms. Barbrook is expected to remain with the Company through the first quarter of 2020.
