This registration statement relates to an additional 501,290 shares of common stock, $0.01 par value per share, of the Registrant (the “ Common Stock ”) reserved for issuance under the 2018 Stock Option and Incentive Plan (the “ 2018 Plan ”), added pursuant to an “evergreen” provision in the 2018 Plan as of January 1, 2019.

This Registration Statement on Form S-8 is filed to register an additional 501,290 shares of the Registrant’s Common Stock reserved for issuance under the 2018 Plan, which were added to the shares authorized for issuance under the 2018 Plan as of January 1, 2019 pursuant to an “evergreen” provision. As of May 10, 2019, there were an aggregate of 1,050,046 shares of the Registrant’s Common Stock reserved for issuance pursuant to outstanding options under the 2018 Plan.
