Explanation of Responses:

Represents the aggregate of (i) 133,129 shares of restricted stock of the Issuer issued to the Reporting Person under the Issuer's Amended and Restated 2006 Stock Incentive Plan and (ii) 26,027 shares of stock of the Issuer purchased by the Reporting Person under the Issuer's 2018 Management Stock Purchase Plan. The Reporting Person was granted 5,000 shares of restricted stock on January 21, 2019, 10,941 shares of restricted stock on April 2, 2019 and 117,188 shares of restricted stock on December 13, 2019. In each case, the shares of restricted stock will vest in three equal annual installments commencing on the first anniversary of their respective grant date.
