The Registrant is unable to file its Quarterly Report on Form 10-Q for the fiscal quarter ended September 30, 2019 within the prescribed time period provided by the applicable rules of the United States Securities and Exchange Commission because the Company did not complete its closing procedures and, accordingly, submit its Form 10-Q for this period to its independent public auditor in sufficient time to meet the auditor’s internal review policies. The Company expects that Forms 10-Q for the fiscal quarter ended September 30, 2019 on or before the fifth calendar day following the prescribed due date.
