(b) On October 31, 2019, the Board of Directors of Stamps.com Inc. (the “Company”) accepted Kate Ann May’s resignation as chief executive officer of ShippingEasy, Inc., a wholly owned subsidiary of the Company, effective as of December 31, 2019. The Company expects that, following such resignation, Ms. May will continue to serve on the Company’s Board of Directors and may serve as an independent consultant for the Company from time to time.
