Item 2.02 Results of Operations and Financial Condition.

On February 6, 2019, Sonos, Inc. (“Sonos”) released its financial results for its first fiscal quarter ended December 29, 2018 in a letter to shareholders available on the investor relations section of its website. A copy of the shareholder letter is furnished hereto as Exhibit 99.1 and is incorporated herein by reference.

Item 5.02	Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 1, 2019, Michael Giannetto informed Sonos that he will be retiring from his position as Chief Financial Officer of Sonos later this year. Mr. Giannetto will continue to serve as Chief Financial Officer until his successor is appointed.
