Item 5.02 – Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 23, 2021, Sesen Bio, Inc. (the “Company”) announced that Jane Pritchett Henderson resigned from the Company’s Board of Directors (the “Board”) effective November 22, 2021 in order to concentrate on other responsibilities outside of the Company. Ms. Henderson’s resignation from the Board was not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.

A copy of the press release announcing Ms. Henderson’s resignation and transition to a CEO Advisor role with the Company is attached as Exhibit 99.1 to this report and is incorporated herein by reference.
