Explanation of Responses:
(1)	The restricted stock units were granted in respect of consulting services provided to the Company by Mr. Odell. The restricted stock units are scheduled to vest in three equal installments as to 2,500 shares on each of May 15, 2021, May 15, 2022 and May 15, 2023. Each unit converts into a share of common stock on a one-for-one basis.
(2)	The stock options were granted on May 16, 2019 in respect of consulting services provided to the Company by Mr. Odell. The stock options vest subject to the achievement of a performance condition.
