Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On August 23, 2019, Ann M. Ferguson, the Chief Financial Officer and Treasurer of Schmitt Industries, Inc. (the “Company”) tendered her resignation as the Company’s Chief Financial Officer, including any positions held with any of the Company’s subsidiaries, effective November 30, 2019. Ms. Ferguson’s resignation was not the result of any disagreements with the Company on any matters relating to its operations, policies or practices.

The Company has begun a search for a new Chief Financial Officer and will announce Ms. Ferguson’s replacement as soon as one has been hired.
