Item 5.02Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 1, 2019, the Board of Directors of Saia, Inc. (the Company) elected Karla J. Staver to the position of Vice President Safety and Human Resources in connection with the realignment of the Safety and Human Resources departments. Ms. Staver, 57, has been employed by the Company for 16 years and has served as a Director of Safety since 2011. There is no arrangement or understanding between Ms. Staver and any other person pursuant to which she is being appointed as Vice President Safety and Human Resources. There are no family relationships between Ms. Staver and any director or executive officer of the Company and there are no relationships or related transactions between Ms. Staver and the Company that would be required to be reported pursuant to Item 404(a) of Regulation S-K.

In connection with the reorganization, effective on October 1, 2019, Michelle Richard is no longer Vice President of Human Resources or an Executive Officer of the Company.
