Explanation of Responses:

The Form 4 filed on 5/10/2021 representing restricted stock units of Surgalign Holdings, Inc. (the "Company") granted as part of the director compensation program of the Company, erroneously reported 57,803 RSUs in column four. The purpose of this amendment is to correctly reflect actual holdings in column five as Mr. Simpson was not intended to receive an annual award pursuant to his consulting agreement.
