Item 1.01 Entry into a Material Definitive Agreement.

On June 3, 2019, Royal Gold, Inc. (“Royal Gold” or “Company”) entered into a Second Amendment to Revolving Facility Credit Agreement (the “Amendment”), amending the Revolving Facility Credit Agreement dated as of June 2, 2017 (the “Revolving Credit Agreement”) by and among the Company, as borrower, certain wholly-owned subsidiaries of the Company as guarantors and pledgors, certain lenders from time to time party thereto, and The Bank of Nova Scotia as administrative agent for the lenders. A summary of the terms of the Revolving Credit Agreement as originally entered into may be found in the Current Report on Form 8-K filed by the Company on June 6, 2017, which summary is incorporated herein by reference.

The Amendment revises the Revolving Credit Agreement to extend the scheduled maturity date thereunder from June 2, 2022 to June 3, 2024 and to reduce certain interest rates and fees to be paid by the Company. Except as set forth in the Amendment, all other terms and conditions of the Revolving Credit Agreement remain in full force and effect.

As of June 3, 2019, no amounts are outstanding under the Revolving Credit Agreement.
