Explanatory Note

This Amendment No. 1 to Current Report on Form 8-K/A amends Renasant Corporation’s Current Report on Form 8-K originally filed with the Securities and Exchange Commission on August 22, 2019 (the "Original Filing") solely to add Inline eXtensible Business Reporting Language tagging to the cover page of this Form 8-K/A. There have been no other changes to the Original Filing.


Item 5.02	Departure of Directors or Certain Officers; Election of Directors: Appointment of Certain Officers; compensatory Arrangements of Certain Officers.

On August 19, 2019, Renasant Corporation (“Renasant”) and its Executive Chairman E. Robinson McGraw entered into an amendment to Mr. McGraw's employment agreement. The amendment provides that Mr. McGraw's employment agreement will expire on May 1, 2022, rather than be subject to annual renewal on May 1 of each year.
