(2)	The disposition of the shares reported on this form was made to the Issuer solely to permit the stockholder to pay Issuer the tax withholding obligation due upon vesting of the restricted stock units.
(3)	The vesting of this restricted stock unit scheduled to vest on March 15, 2020 was accelerated as a result of the sale of the Issuer's wireless operations in Brazil, effective December 18, 2019.
