Item
1.01 Entry into a Material Definitive Agreement.
On
June 1, 2021 (the “Closing Date”), NewAge, Inc. (the “Company”) entered into an Asset Purchase Agreement (the
“Asset Purchase Agreement”), with Aliven, Inc. (the “Seller”) under which the Company acquired the assets of
Aliven Inc., a Japan-based direct selling company (the “Acquisition”). The Acquisition closed upon entering into the Asset
Purchase Agreement.
On
the Closing Date, the Company issued the Seller 1,071,500 shares of the Company’s common stock, par value $0.001 per share (the
“Common Stock”). The Common Stock was offered and sold in reliance upon exemptions from registration pursuant to Section
4(a)(2) of the Securities Act of 1933, as amended (the “Securities Act”), and Rule 506 of Regulation D promulgated thereunder.
The
Asset Purchase Agreement contains customary representations, warranties, covenants and indemnities by the parties.
The
summary of the Asset Purchase Agreement in this Current Report on Form 8-K does not purport to be complete and is qualified by reference
to the full text of the Asset Purchase Agreement, which is included as Exhibit 2.1 to this Current Report on Form 8-K and incorporated
herein by reference.
The
Asset Purchase Agreement has been attached as an exhibit to this report to provide investors and security holders with information regarding
its terms. It is not intended to provide any other information about the Company, the Seller, its business, or their respective subsidiaries
and affiliates. The representations, warranties and covenants contained in the Asset Purchase Agreement were made only for purposes of
