Explanation of Responses:
(1)  Restricted stock granted pursuant to Multi-Color's 2012 Stock Incentive Plan.
(2)  Shares held directly by Constantia Flexibles Holding GmbH ("CFlex Holding"). Wendel SE indirectly owns 60.78% of the equity and has the ability to nominate a majority of the directors of Constantia Lux Parent S.A. ("CFlex Parent"). CFlex Parent is the sole equityholder of Constantia Lux S.a r.l ("CFlex Lux"). CFlex Lux is the sole equity holder and has an ability to appoint a majority of the supervisory board of CFlex Holding. The Reporting Person, as Managing Director and Chief Executive Officer of Wendel London and a board member of CFlex Holding, disclaims beneficial ownership of these securities except to the extent of the Reporting Person's pecuniary interest therein, and this report shall not be deemed to be an admission that he is the beneficial owner of such securities for purposes of Section 16 or any other purpose.
