Explanation of Responses:
(1)	50,000 shares vested on July 1, 2020 upon the closing (the "Closing") of the transactions contemplated by the Amended and Restated Agreement and Plan of Merger by and among the Company, MICT Merger Subsidiary, Inc., GFH Intermediate Holdings Ltd. and Global Fintech Holdings, Ltd., dated April 15, 2020 ("Merger Transaction") and the remaining 50,000 shares shall vest on January 1, 2021, so long as Mr. Ofir continues to serve as a director of the Company on such date.
(2)	The option vested in full on July 1, 2020 upon the Closing of the Merger Transaction. The option shall terminate on October 1, 2021, fifteen (15) months from the Closing of the Merger Transaction.
