On October 23, 2018, Meridian Bancorp, Inc. issued a press release announcing earnings for the third quarter and nine months ended September 30, 2018. A copy of the press release is attached as Exhibit 99 to this report.

The press release attached as an exhibit to this Current Report pursuant to this Item 2.02 is being furnished to, and not filed with, the Securities and Exchange Commission.

The press release issued and attached as Exhibit 99 also announces the Company’s intention to increase its next regular quarterly dividend by $0.02, or 40%, to $0.07 per share.
