Departure of Directors or Principal Officers; Election of Directors;
Appointment of Principal Officers; Compensatory Arrangements of Certain Officers.
(b) On September 4, 2018, the Registrant announced W. Taylor Kamp’s departure from his position as Senior
Vice President and Chief Financial Officer of Marlin Business Services Corp. (the “Company”). Mr. Kamp’s departure
was not related to any issues involving the Company’s business, strategy, operations, performance, financial reporting or
internal controls. The Company expects to enter into a separation and release agreement with Mr. Kamp pursuant to the Company's
Severance Pay Plan for Senior Management, whereby he will continue to be employed by the Company until year end.
