Explanation of Responses:
(1)	Pursuant to the Company's 2020 Equity and Incentive Plan, as amended, the Director received a one-time grant of 8,000 Restricted Stock Units ("RSUs"), vesting quarterly with 25% vesting on September 30, 2021 and the remaining vesting ratably on December 31, 2021, March 31, 2022 and on the earlier of the annual stockholders' meeting or June 30, 2022. The RSUs represent a contingent right to receive one share of Common Stock for each RSU.
(2)	Mr. Bhatia received an option to purchase 100,000 shares of Common Stock, at an exercise price of $7.07 per share, as compensation for services to be provided pursuant to a Consulting Agreement dated September 8, 2021.
