Explanatory Note

Legacy Reserves Inc. is filing this Amendment No. 1 to Current Report on Form 8-K to amend the Current Report on Form 8-K filed on June 14, 2019 (the “Original Form 8-K”) for the sole purpose of refiling Exhibit 10.1 to include Annex I – Equity Ownership Percentages to Exhibit A-1 thereto, which was inadvertently omitted from Exhibit 10.1 to the Original Form 8-K. All other information in the Original Form 8-K is unchanged.
