Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 8, 2020, Philippe Deschamps, President and Chief Executive Officer of Helius Medical Technologies, Inc. (the “Company”), elected to temporarily reduce his base salary by thirty percent (30%) until his revocation due to current industry-wide conditions, including the uncertainty created by the effects of the novel coronavirus (COVID-19).

Other Events.

On May 12, 2020, the Company issued a press release announcing that the U.S. Food and Drug Administration granted Breakthrough Designation for its PoNS device as a potential treatment for gait deficit due to symptoms of Multiple Sclerosis, to be used as an adjunct to a supervised therapeutic exercise program. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
