Item 2.02 Results of Operations and Financial Condition.

On April 2, 2020, Funko, Inc. (the “Company”) issued a press release containing preliminary balance sheet information for the quarter ended March 31, 2020 and announcing a business update related to the impact of the COVID-19 pandemic. The full text of the press release issued in connection with the announcement is furnished as Exhibit 99.1 hereto and is incorporated herein by reference.

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 8, 2020, the Company announced that Brian Mariotti, the Company’s Chief Executive Officer, Andrew Perlmutter, the Company’s President, Jennifer Fall Jung, the Company’s Chief Financial Officer, and Tracy Daw, the Company’s Senior Vice President, General Counsel and Secretary, have each agreed to a reduction in their base salary by 20% through June 30, 2020 in light of the economic uncertainty stemming from the COVID-19 pandemic.
