Explanation of Responses:
(1)	The reporting person received 89.338 shares of Series A Preferred Stock from the Issuer as payment for the obligation of CIM Urban Partners, L.P. ("CIM Urban"), a wholly-owned indirect subsidiary of the Issuer, to pay the reporting person a management fee in respect of the first fiscal quarter of 2021 pursuant to the investment management agreement between the reporting person and CIM Urban.
