Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 16, 2021, Neil A. Goldman, our Executive Vice President and Chief Financial Officer, notified us that he would be terminating his employment with our company, effective on or about November 5, 2021, in order to pursue another opportunity. Mr. Goldman’s resignation is not due to any disagreement with our company.

We are initiating a search process to identify and retain a successor chief financial officer.
