The Registrant could not file its Quarterly Report on Form 10-Q for the period ended March 31, 2020 on June 29 2020 prior to the 5:30 PM filing deadline solely due to the fact that the EDGAR website maintained by the Securities and Exchange Commission (the “Commission”) was not accepting filings due to technical reasons in the sole control of the Commission. The report was ultimately accepted by EDGAR at 7:12 PM. .
