Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers;
Compensatory Arrangements of Certain Officers.

(b) On August 27, 2019, Matthew Dallas, the chief financial officer of AVEO
Pharmaceuticals, Inc. (the Company), provided notice of his intention to leave the Company to pursue a new career opportunity. Following a one month transition, Mr. Dallas will resign from the Company effective as of September 26, 2019.
The Company is in the process of commencing an external search for its next chief financial officer. Effective as of September 26, 2019, Michael Bailey, the Companys president and chief executive officer, would assume the role of principal
financial officer until a replacement chief financial officer is appointed.
