Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 5, 2018, Mariann Byerwalter, a member of the Board of Managers of Burlington Capital, LLC, (the “Board”) the general partner of the general partner of America First Multifamily Investors, L.P. (“the Company”) notified the Board of her intention to resign effective November 5, 2018. Mariann Byerwalter’s decision to resign did not result from any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
